Terms of service
Introduction
These “Terms of Service” govern your use as a “User” of Legly AB’s “Services” under the brand “Legly”.
Our “Privacy Policy” also governs your use of the Service and explains how we collect, store and process your personal data. Read the privacy policy here.
By registering for, subscribing or using the Service you acknowledge that you have read, understood and agreed to bound these Terms of Service and to our Privacy Policy.
In the event of a conflict between these Terms of Service and any Customer Agreement with your employer and NDA or confidentiality agreement between the parties, the Customer Agreement shall always prevail.

Using the Service
To use the Service, you as a User need a user account. Required user information is registered at the Service either by yourself or by your employer.
You as a User of the Service undertakes to:

be at least 18 years old.

not use the Service for purposes other than what the Service is intended for.

ensure that all information you provide when using the Service is complete, accurate, relevant, up to date and reflects the reality.

immediately notify Legly if you suspect that another person has accessed your accounts, information therein or your login details.

without delay, provide Legly with information that Legly requests to be able to manage your order or your user account, rectify errors or omissions in the Service or otherwise exercise its rights under the Terms of Service.

keep up to date on any changes or additions to the Terms of Service and immediately notify Legly if you do not accept such changes or additions.

not, within the Service, distribute or transmit any data or information that (i) you are not entitled to disseminate under law or contract; (ii) infringe, contribute to, or encourage others to infringe on intellectual property rights; or (iii) contains viruses, Trojans, Internet worms, other malicious software or code, or which may otherwise damage or adversely affect the Service, or (iv) otherwise cause harm or other inconvenience to Legly or any third party.
In violation of the Terms of Service Legly can immediately terminate a user's access to the Service, without notice or liability.
The user can request that their own account is terminated by contacting Legly here.
All provisions of the Terms of Service that are, by their very nature, to survive termination must also survive termination including and without limitation, ownership provisions, warranty descriptions, damages and limitations of liability.
Communication and promotions
By using the Service, you accept that Legly may send information to you as a user (e.g. technical updates, recommendations, newsletters, promotional materials). However, you may opt out using the unsubscribe link.

Security and privacy
Legly have implemented commercially reasonable technical and organizational measures designed to secure information and data (including your personal information) from accidental loss and from unauthorized access, use, alteration, or disclosure. However, Legly cannot guarantee that unauthorized third parties will never be able to defeat those measures or use personal information for improper purposes. You confirm understanding that the internet technologies have the inherent potential for disclosure.
User data
You are responsible for the data you upload. By uploading a document to the Service, you warrant that you have the right to read, use and upload the document to the Service.

By uploading a document to the service you grant to Legly its subsidiaries and partners a worldwide, perpetual, irrevocable, fully paid-up and royalty free right and license to use, re-produce, store, modify, distribute, create derivative works and copy data (including user statistics), information and/or text elements derived from User Data to:

Provide the Service to the User Company and its Users in accordance with this Agreement and the Terms, and

Analyze, improve and develop the Service (and the algorithms which the Service is based on) and further analytic frameworks and application tools.
By uploading a document, you represent and warrant that you have the right to grant Legly and its subsidiary the above-mentioned right and license.
Before uploading a document, you undertake to erase from the document any personal data and other information that can violate e.g. privacy rights, copyrights and/or contract rights.
No legal advice
Legly is not engaged in providing legal or other professional advice. The information you obtain by using the Service is not a substitute for the advice of a lawyer. If legal or other expert advice is required you should seek the services of a competent lawyer or other professional.
Using the Service does not create a lawyer-client relationship.
Ownership
The Service is owned and operated by Legly. The visual interfaces, graphics, design, compilation, information, computer code, products, software, services, and all other elements of the Service provided by Legly are protected by intellectual property and other applicable laws. Except for any technology licensed by Legly, which is owned by and provided by third-party licensors, all materials contained in the Service, including without limitation the intellectual property rights therein and thereto, are the property of Legly or its subsidiaries.
All trademarks, service marks, and trade names are proprietary to Legly, its subsidiaries, and/or third-party licensors. Except as expressly provided herein, nothing in the Terms of Service shall be deemed to create a license in or under any such materials or the intellectual property rights therein or thereto. As a user you agree not to sell, license, distribute, copy, modify, publicly perform, or display, transmit, publish, edit, adapt, create derivative works from, or otherwise make unauthorized use of the materials.
Third-party sites
The Service uses third-party service providers, including (but not limited to) third-party payment providers. Company makes no (expressed or implied) warranties about the information, or other material, products, or services that are contained on or accessible through third-party services. Access and use of third-party services, including the information, material, products, and services on such sites or available through such services, is solely at your own risk.
No warranties
The Service and any service or data made available in conjunction with or through the Service is provided “as is” and “as available”, without any warranties of any kind (expressed or implied). To fullest extent permitted by applicable law Legly, its subsidiaries and partners disclaim all warranties (statutory, expressed, or implied) including, but not limited to, implied warranties of merchantability, fitness for a particular purpose and non-infringement of property rights.
Legly, its subsidiaries or partners do not warrant that the functions contained in the Service will be uninterrupted or error-free, that the Service will meet your requirements or that the Service is free of viruses or other harmful components.
Legly, its subsidiaries or partners do not warrant or make any representation regarding the use of the Service in terms of correctness, accuracy, reliability or otherwise. Legly, its subsidiaries or partners are not responsible for any damage to your computer and/or computer system, loss of data or User provided information. Legly, its subsidiaries or partners will not be responsible or liable for the deletion, correction, destruction, damage, loss, or failure to store any data.
Modification
Legly reserves the right, at its sole discretion, to change, modify, add, or remove portions of the Service at any time.

Limitation of liability
Under no circumstances, including, but not limited to, negligence, will Legly, its subsidiaries or partners be liable for any special, indirect, incidental, consequential, punitive, reliance or exemplary damages that result from the use of (or inability to use) the Service or any information or data contained in the Service.
In no event will Legly’s, its subsidiaries or partners total liability to you as a User for all damages, losses and causes of action arising out of or relating to this Terms of Service or the use of the Service, exceed the amount paid by the User, or the User’s employer for the User’s account, for accessing the Service during the six (6) months immediately preceding the day the act or omission occurred that gave rise to the claim.
Legly shall be notified in writing about any claim against Legly or its subsidiaries. Such notification shall be made without undue delay and in no event later than four (4) weeks after you or your employer became aware of the circumstances giving rise to the claim.
Indemnification
You agree to defend, indemnify and hold harmless Legly, its subsidiaries and partners, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (a) the use of and access to the Service, including any data or work transmitted or received by you; (b) violation of this Terms of Service; (c) violation of any third-party right, including without limitation any right of privacy, publicity rights or intellectual property rights; (d) violation of any law, rule or regulation; (e) any claim or damages that arise as a result of any of personal information or any other data that are submitted via your accounts; or (f) any other party’s access and use of the Service with your unique username, password or other appropriate security code.
You hereby release and forever discharge Legly (and its officers, employees, agents, successors, and assigns) from, and hereby waive and relinquish, each and every past, present and future dispute, claim, controversy, demand, right, obligation, liability, action and cause of action of every kind and nature (including personal injuries, death, and property damage), that has arisen or arises directly or indirectly out of, or that relates directly or indirectly to, the Service.
Amendments to Terms of Service
Legly reserves the right to amend or make additions to the Terms of Service at any time.
We recommend that you keep yourself updated on amendments or additions to the Terms of Service. At any substantial change in and/or additions to the terms, you will be notified via email or posting on the Service’s website at least thirty (30) calendar days before the amendment and/or addition takes effect. In the event of such modification or addition, you may stop using the Service or request your account to be terminated on the day the change takes effect, or you will be deemed to have accepted the amendment or addition.
Any omission by either party to exercise its rights and remedies under this Agreement on any occasion shall not constitute a waiver of such rights and remedies on other occasions.
Miscellaneous Provisions
This Terms of Service contains the entire agreement between you and Legly on the subject matter hereof and supersedes any previous written or oral agreement between you and Legly in respect thereof.
If any term or provision in this Terms of Service shall be held to be illegal or unenforceable, in whole or in part, such term or provision or part shall to that extent be deemed not to form a part of this Terms of Service but the enforceability of the remainder of this Terms of Service shall not be affected, provided that the remaining terms of the Terms of Service shall be reasonably adjusted to redress any imbalance caused by such unenforceability.

Pricing, payment and termination

All prices exclude VAT. Debiting takes place in advance for each contract period. The contract period is 12 months and renews automatically unless written notice is provided at least 30 days prior to the end of the contract period.

Subscriptions and fees can be paid by invoice or credit card. Invoices have a 30 days payment term. Renewals paid by credit card are billed 15 days before payment is processed.

Other costs, such as additional users, are paid quarterly in arrears.

Legly reserves the right to adjust the pricing for its services. Customers will be notified of price adjustments at least 60 days in advance. If an adjustment increases by more than 5%, Clients may terminate their subscription by providing written notice within 30 days of receiving the price adjustment notice.

Notices
All notices, consents, and other communications required or permitted under this Terms of Service shall be made in writing and be deemed to have been duly given by the parties if addressed and delivered by email to authorized representatives of each party.
Notices shall be deemed to have been received three (3) business days after the day of dispatch.
Governing law
This Agreement is governed by the substantive laws of Sweden.
Disputes
Any dispute arising out of or in connection with the Terms of Service shall be settled by the courts of Sweden.
